These Terms and Conditions govern all sales of goods by N&P Maritime (S.E.A.) Pte Ltd ("N&P Maritime", "we", "us") to the buyer ("Customer"). By placing an order or accepting a quotation, the Customer agrees to be bound by these Terms and Conditions.
"Goods" means the marine spare parts, equipment, or components supplied by N&P Maritime. "Order" means a purchase order or written acceptance of a quotation issued by the Customer. "Quotation" means a written offer to supply Goods issued by N&P Maritime, valid for the period stated therein or, if no period is stated, for 30 days from the date of issue.
All Orders are subject to acceptance by N&P Maritime in writing. N&P Maritime reserves the right to decline any Order without providing a reason. A binding contract is formed only upon N&P Maritime's written confirmation of an Order. Verbal instructions or arrangements are not binding unless confirmed in writing.
All quotations are based on information provided by the Customer at the time of enquiry. N&P Maritime accepts no liability for incorrect parts supplied as a result of inaccurate, incomplete, or misleading information provided by the Customer. Prices quoted are in the currency stated and are exclusive of freight, insurance, customs duties, and applicable taxes unless expressly stated otherwise. N&P Maritime reserves the right to revise pricing if there are changes in manufacturer pricing, exchange rates, or freight costs prior to Order confirmation.
Payment terms will be stated on the invoice or confirmed in writing at the time of Order. Unless otherwise agreed, payment is due prior to shipment. N&P Maritime reserves the right to withhold shipment until full payment is received. Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
Delivery dates provided by N&P Maritime are estimates only and are not guaranteed. N&P Maritime shall not be liable for any loss or damage arising from delay in delivery. Unless otherwise agreed in writing, delivery terms are Ex Works (EXW) Singapore (Incoterms 2020). Risk in the Goods passes to the Customer upon handover to the carrier or freight forwarder. The Customer is responsible for arranging and bearing the cost of freight, insurance, and import clearance unless otherwise agreed.
The Customer must inspect all Goods upon receipt. Any claim for short delivery, visible damage, or incorrect Goods must be submitted in writing to N&P Maritime within 7 calendar days of receipt. Claims submitted after this period will not be accepted. Goods that have been installed, used, or modified cannot be returned or claimed against.
Orders for Goods that are specially ordered from manufacturers or sourced on a non-stock basis cannot be cancelled once confirmed. Returns of stocked Goods may be accepted at N&P Maritime's sole discretion and are subject to a restocking charge. All returns must be authorised in writing by N&P Maritime prior to return shipment. Goods must be returned in their original, unused, and undamaged condition with all original packaging and documentation.
N&P Maritime warrants that Goods supplied are genuine and sourced from authorised manufacturers or their authorised distributors, where applicable. The warranty for Goods is limited to the warranty provided by the original manufacturer. N&P Maritime does not independently warrant the fitness of Goods for any particular purpose beyond the manufacturer's specifications. Any warranty claims must be submitted in writing within the manufacturer's stated warranty period.
To the fullest extent permitted by law, N&P Maritime's total liability to the Customer for any claim arising from or in connection with the supply of Goods shall not exceed the invoice value of the Goods giving rise to the claim. N&P Maritime shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of vessel earnings, loss of charter, off-hire costs, or third-party claims, howsoever arising.
All part numbers, technical data, drawings, and documentation provided by N&P Maritime are for the Customer's use only in connection with the purchased Goods. They may not be reproduced, shared, or used for any other purpose without N&P Maritime's prior written consent.
N&P Maritime shall not be in breach of these Terms and Conditions or liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, pandemic, government restrictions, port closures, or manufacturer supply disruptions.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising from or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Singapore.
N&P Maritime reserves the right to update or amend these Terms and Conditions at any time. The version published on our website at the time of Order confirmation shall apply.
